Meta Breakup Update 11-11-25

As of November 2025, Meta (parent company of Facebook, Instagram, and WhatsApp) has not been broken up. Its fate currently rests with a federal judge, who is weighing a decision in a landmark antitrust trial brought by the Federal Trade Commission (FTC).

Key Updates

FTC Lawsuit: The FTC filed a lawsuit in 2020 alleging that Meta unlawfully maintained a monopoly in the social networking market by acquiring potential competitors, specifically Instagram (2012) and WhatsApp (2014). The FTC is seeking a breakup of the company.

Trial Conclusion: A six-week trial in the U.S. District Court for the District of Columbia concluded on May 27, 2025.

Decision Pending: U.S. District Judge James Boasberg, who oversaw the trial, has not yet issued a decision. A ruling was expected in the fall of 2025, but is still pending. The outcome of this case will determine whether a breakup is a possibility.

Meta's Defense: Meta argues it faces robust competition from other platforms like TikTok and YouTube and that its acquisitions benefited both companies and consumers.

Potential Impact: If the FTC prevails, it could force Meta to spin off Instagram and WhatsApp, which experts say would be technically difficult due to years of integration of their systems, data, and shared advertising platform.

Other Cases: Meta also won a separate antitrust suit brought by private users in October 2025, which was dismissed by a different judge.

The situation remains in limbo as the tech giant awaits the judge's verdict on the FTC's case.

As of November 2025, Meta Platforms, Inc. has not broken up into separate companies. However, the company faced a significant antitrust lawsuit from the Federal Trade Commission (FTC) in 2025, which aimed to force the spin-off of Instagram and WhatsApp.

Key updates:

FTC Antitrust Trial: A landmark antitrust trial took place over several weeks in mid-2025, with the FTC arguing that Meta's acquisitions of Instagram and WhatsApp stifled competition and established a monopoly. Meta countered that the acquisitions were beneficial and that it faces robust competition from other platforms like TikTok and YouTube.

Trial Status: The case concluded in May 2025, and a U.S. District Judge is weighing the decision. The outcome of the trial, and whether a breakup will be ordered, remains in limbo.

Potential Impact: If the FTC prevails, a court-ordered breakup could have major implications for Meta's business and advertising revenue, as user data and advertising systems are heavily integrated across its services.

Other Meta News: Separately, Meta Materials Inc. (MMATQ), a different company, is undergoing liquidation proceedings in late 2025, a process that has resulted in a total loss for its shareholders. Meta Platforms also announced plans to shut down its enterprise communication service, Workplace, by August 2025.

Stock Split Speculation: There is ongoing speculation that Meta Platforms might announce a stock split in late 2025 or 2026, as its share price has risen significantly and the company has never split its stock.
